SEC HARBOR Philippines: What Business Owners Need to Know About Beneficial Ownership and GIS Filing in 2026
The Hierarchical and Applicable Relations and Beneficial Ownership Registry (HARBOR) platform became the SEC's designated platform for beneficial ownership reporting on January 30, 2026. During the transition, the SEC temporarily continued accepting the old 2020 GIS form. Effective August 1, 2026, however, the 2020 form is no longer accepted, and beneficial ownership information must be submitted through HARBOR using the current SEC filing process.
This applies to all corporations, partnerships, and One Person Corporations (OPCs) registered in the Philippines and must e-submit via the SEC Harbor Portal.
Beneficial Owner and GIS
Previously, one would declare beneficial ownership inside the General Information Sheet (GIS) under the Beneficial Ownership Declaration section. Now, it is an independent online filing requirement.
A beneficial owner is defined as a natural person who ultimately owns or controls a business. The most straightforward example is someone who directly or indirectly owns at least 20% of the voting rights, voting shares or capital. However, a person may also qualify as a beneficial owner even without owning 20% if they exercise significant control over the company through voting rights, contractual arrangements, board influence, nominee arrangements or other means. If no natural person can be identified after applying the SEC's ownership and control tests, certain members of senior management may need to be identified.
Note that legal entities like holding companies cannot be beneficial owners.
Why Was This Implemented?
This was implemented to enhance corporate transparency and fight money laundering, terrorism financing and other illicit activities. In fact, this was backed by the Asian Development Bank.
Step-by-Step Guide to Using HARBOR
HARBOR (also known as eHARBOR) is linked to two other SEC platforms: eSECURE and eFAST. One must have the other two set-up to submit to HARBOR

a. Go to the SEC platform and click on eSECURE Registration
b. Input a valid mobile numbe and email address to receive and verify a One-Time Password (OTP)
c. Create your username and password. Enter all necessary personal details and submit. This account acts as your main login for the other platforms
2. 2. Link your corporation in eFAST
a. Log-in to SEC eFAST using your eSECURE account
b. Search for your corporation and click verify
c. Assign yourself or your corporate secretary (depending on the entity of your company) as the authorized filer
d. Upload the Board Resolution or the Secretary Certificate that indicated that the filer is legally allowed to submit documents on behalf of the company
3. 3. Submit to HARBOR
a. Before filing: Make sure the person submitting the declaration has an active eSECURE account and is enrolled as an authorized eFAST filer for the company. Once authorized, the filer can access HARBOR using their eSECURE credentials and complete the company's beneficial ownership declaration.
b. Choose your corporation from the list and choose the filing year
c. Map the ownership structure. Make sure you have all relevant personal information such as full name, birthday, and TIN number ready
d. Define the nature of control and input the total ownership percentages across all relevant owners (make sure they all add up to 100%)
e. Review the information before clicking submit
f. Download the confirmation receipt
When does this need to be filed?
Technically this needs to be filed yearly. However, the process depends on whether there are any updates on the company data or information.
If information about your company has not changed (ex. Stockholders, board of directors, percentage allocations, and personal details remain the same as last year), one does not have to submit a new application. When you log in your SEC HARBOR Portal, pull the existing data from the year before and click “Revalidate.”
This revalidation process is done in conjunction with your yearly GIS timeline.
If there are any changes, whether it be a new residential address of one of the directors, percentage allocations, or who the stockholders are, you must submit an amended declaration within 7 calendar dates from the date the change occurred.
How does this affect businesses?
While this can be done online, it is an added administrative task. Previously, small businesses and corporations only reported one a year when submitting the GIS. Now, this becomes an obligation especially the moment any changes occur. The added task is not just doing the amendment online but also coordinating with their Corporate Secretaries for accuracy. Note that even One Person Corporations (OPCs) must still register and must explicitly declare oneself as the nominee plus an alternate nominee as the beneficial owners.
Failure to comply can result in significant penalties. Depending on the violation, the SEC may impose monetary penalties on the company and responsible directors or officers. Submission of false beneficial ownership information can result in fines of up to ₱2 million and may ultimately lead to dissolution of the entity, while responsible directors or officers may also face penalties or disqualification.
For Philippine businesses, HARBOR adds another compliance step, but the most important change is the need to keep beneficial ownership information accurate and up to date. Companies should make sure their eSECURE and eFAST access is properly set up, review their beneficial ownership information when filing their annual GIS, and report relevant changes within seven calendar days. With the old 2020 GIS form no longer accepted as of August 1, 2026, understanding the HARBOR process should now form part of every corporation's regular SEC compliance checklist.
